OneCMS (“OneCMS” or the “Software”) means the proprietary Software added to the instance of Word Press installed on servers controlled by InterTech. OneCMS provides an online service that allows you to post Content to websites (“Site or Sites”). OneCMS is operated by InterTech Media, LLC (“InterTech”), and the terms “we,” “us” and “our” as used in these Terms refer to InterTech. We may refer to you, as “user”, “you” or “your”.
OneCMS, including all information, tools and services available from OneCMS (collectively, the “Services”), is offered to you, the user, conditioned upon your acceptance of all the terms, conditions, policies and notices stated here, including the terms of our Privacy Policy and to the terms of the Word Press General Public License found here: http://wordpress.org/about/gpl/.
BY USING THIS SITE, YOU EXPRESSLY ACCEPT AND AGREE TO BE BOUND BY AND ABIDE BY ALL THE TERMS AND CONDITIONS CONTAINED IN THESE TERMS OF USE. DO NOT USE THE SITE IF YOU DO NOT ACCEPT AND AGREE TO THESE TERMS OF USE. You are always bound by the terms and conditions that apply at the time of your use of our Site and you should periodically visit this page to review them, so you know the terms and conditions that apply to you. Your continued use of our Site means that you accept and fully agree to the terms and conditions that apply at the time of your use.
The term “use” means and includes access, interaction, sending and receiving information, downloading and uploading, posting, browsing and engaging in any other activity or using the features and functions of the Site, as a registered user or otherwise, including communications by and between anyone that you may have selected to share information with.
InterTech may, at any time, modify the Services provided, place limitations on the use of the Services or suspend your use of the Services, without any prior notice you. If you are using OneCMS on a mobile device, please note that normal charges will apply to your use of the Services that trigger carrier charges, such as text messaging and data usage charges, etc.
PERMITTED USAGE / REGISTRATION
You may use the Services only if you are employed by an entity that has formed a binding contract with InterTech and are an Authorized User as defined therein, and are not a person barred from receiving these Services under the laws of the United States or other applicable jurisdiction. Compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations applicable to you are required in order for you to may use the Services.
Certain activities are expressly prohibited:
You may not upload, post, host, transmit or otherwise make available to others unsolicited email, SMSs, or “spam” messages through the Services, nor any materials containing embedded links, chain letters or pyramid schemes of any kind.
You may not transmit or otherwise make available to others any worms or viruses or any code of a destructive nature or any spyware through the Services.
You may not use the Services for any illegal or unauthorized purpose, including in any way that violates copyright or other laws applicable in the USA or applicable to you.
You are prohibited from posting or transmitting to or from a Site any threatening, libelous, defamatory, obscene or pornographic material.
You may not use the Services in a way that could damage, disable, overburden, or impair Sites or interfere with any other party’s use and enjoyment of a Site. This restriction applies to any use that interferes, or attempts to interfere with, the normal operations of the Services, including by hacking, deleting, augmenting or altering the Services or any content.
You may not attempt (or encourage or support anyone else’s attempt) to circumvent, reverse engineer, decrypt, or otherwise alter or interfere with the Services or a Site, or any content thereof, or make unauthorized use thereof.
Account registration is required; registration requires that you provide your full legal name, a valid email address and any other information requested to complete the registration process. You will also be asked to select a login password. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account.
Unauthorized entry into your account may compromise the security of your stored information and content at any time. You acknowledge that InterTech shall have no responsibility for the security of your account login information, and therefore InterTech will not be liable for any loss or damage from your failure to comply with this security obligation. You must immediately notify us of any compromise of your credentials you become aware of and any unauthorized use of your account. If you connect to OneCMS utilizing a third party service (e.g., Facebook or Twitter), you give us permission to access and use your information from that service as permitted by that third party service, and to store your log-in credentials for that service.
The account holder must be a human, even if you are using the Site for the benefit of a company, organization or other legal entity. Accounts registered by “bots” or automated methods are not permitted. Only one user is permitted per account registration. As part of the registration process, you warrant that you are not using the name of another person or entity. In the event that any of the registration information you provide is incomplete or inaccurate, we may suspend or terminate your account.
Note: THIS SITE IS NOT INTENDED FOR USE BY MINORS (NORMALLY INDIVIDUALS UNDER THE AGE OF 18). YOU ARE NOT PERMITTED TO USE THIS SITE IF YOU ARE A MINOR IN THE JURISDICTION OF YOUR USUAL RESIDENCE.
InterTech is not responsible for determining the age of the users of the Site and has no liability whatsoever should a minor use the Site or any other part of the Services, regardless of whether the minor’s use of the Service would otherwise be prohibited due to the minor’s age.
InterTech may restrict access to your account in accordance with the Agreement between InterTech and your employer. Reactivation of an account is by request only to support@intertechmedia.com
THIRD PARTY WEBSITES
The Services may permit you to interact with and manage content on third party websites. Each user has sole responsibility for evaluating whether he/she wants to access or use a third party site or a third party platform application, and should therefore carefully review any applicable terms and/or privacy policy of each third party site(s) selected for his/her dashboard on this Site.
InterTech is not responsible for your compliance with the terms and/or privacy policy of any third party site(s) selected by you. You alone must determine what permission is needed from the third party provider, including what subscription payment may be required and what rules of conduct apply. It is important that you understand that you are in the best position to know if the materials you post are legally allowed. (Please note that any commercial use of content obtained from a third party provider may give rise to different obligations.) By posting any third party content or link on a OneCMS site, you warrant to InterTech that you are following the relevant terms and conditions of the third party provider and are in compliance with all applicable laws and regulations.
InterTech does not screen, audit, or endorse third party websites or platform applications and InterTech has no responsibility for, and does not endorse, any features, content, advertising, products or other materials on or available from third party sites or platform applications.
Each user of this Site acknowledges that in accessing a third party website or platform application, he/she does so at his/her own risk and agrees that his/her use of any website or platform application is on an “as-is” basis without any warranty as to the use of the third-party website or platform application, and that these Terms do not apply to his/her use of any third party website or platform application.
CONTENT
InterTech and OneCMS are only acting as a passive conduit for the online distribution and publication of content posted by you and others. We do not pre-screen content, whether created by a user or posted by a third party, and shall not be responsible for the content accessed or made available to others through the Services. InterTech does not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any content or communications posted via the Services, nor does InterTech endorse any opinions expressed via the Services.
You understand that by using the Services, you could be exposed to content that is offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive. All content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such content. Any use or reliance on any content or materials posted via the Services or obtained by you through the Services is at your own risk.
Under no circumstances will InterTech be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted or otherwise made available via the Services or broadcast elsewhere.
Nevertheless, InterTech may (but has no obligation to) remove content and accounts containing content that InterTech determines, in its sole discretion, to be unlawful, offensive, harmful, inaccurate, or otherwise inappropriate or deceptive (including content that InterTech believes may violate any party’s intellectual property).
SUBMISSION OF IDEAS
We value hearing from you, and are always interested in learning about ways we can make OneCMS better. You may choose to, or we may invite you to, submit comments, ideas or feedback about the Services, including without limitation about how to improve the Services (“Submissions”). You agree that any Submissions you provide are gratuitous, unsolicited and without restriction; that your disclosure of such Submissions will not place InterTech under any fiduciary or other obligation; and that InterTech is free to use, disclose and otherwise exploit the ideas included in your Submissions without any restriction and without prior notice to you. By acceptance of your Submission, InterTech does not waive any rights to use similar or related ideas previously known to us, or developed by our employees, or obtained from sources other than you.
OWNERSHIP AND LICENSES RELATING TO CONTENT AND INFORMATION
We claim no ownership rights over the content you make available to others through the Services, including all content you input on third party websites. You alone own the information you provide to us in your profile. By providing information to us or to third parties through the Services, you represent and warrant that you are entitled to and authorized to submit the information and that the information is accurate, not confidential, and not in violation of any contractual restrictions or other third party rights.
OneCMS is proprietary to InterTech; we and our licensors retain title to and ownership of all rights (including copyright, trademark, patent, trade secret and all other intellectual property rights) in and to the Services and OneCMS content, except for those rights expressly retained by you as stated above. You acquire no rights whatsoever to all or any part of the Services, except for the limited use rights granted by these Terms. Please note that OneCMS and all of its content, including, but not limited to, text, design, graphics, interfaces and code, and the selection and arrangement thereof, is protected as a compilation under the copyright laws of the United States and other countries.

Following termination or deactivation of your account, or if you remove any content from a site, we may retain your content for backup, archival, or audit purposes. Furthermore, InterTech and others may retain and continue to display, reproduce, modify, re-arrange, and distribute any of your content which you have posted to public or semi-public areas of the Sites.
Upon registering for the Services and upon the condition that you comply with all of your obligations under these Terms, InterTech grants you a non-exclusive, non-transferable, revocable license to access and use the Software, strictly in accordance with these Terms and subject to all the limitations set forth in these Terms.
TRADEMARKS AND COPYRIGHTS
The InterTech name and logo and all related service names, design marks and slogans are trademarks, service marks, trade names or registered trademarks owned by or licensed to InterTech and may not be used in any manner without the prior written consent of InterTech. All other product and service marks, design marks and slogans are trademarks, service marks, trade names or registered trademarks of their respective owners. Nothing on this Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo, design mark, slogan trade name or service, or to use any copyrighted material.
INFRINGEMENT NOTICE

INDEMNIFICATION

You agree to fully cooperate with us in the defense of any such demand, claim, action, settlement or compromise negotiations, as requested by us.
ARBITRATION OF DISPUTES
If we cannot amicably resolve any dispute or claim arising directly or indirectly in connection with these Terms or from your interactions with the Site or use of the Services, you agree to resolve any such dispute or claim by binding arbitration. The arbitration proceeding shall be conducted in Stamford, Connecticut, in accordance with the rules of the American Arbitration Association then in effect with one (1) arbitrator to be selected by mutual agreement of both you and InterTech. If we cannot agree on an arbitrator, then the American Arbitration Association shall select an arbitrator from the National Panel of Arbitrators. The laws of the State of Connecticut, without giving effect to any principles of conflicts of laws, shall apply to the arbitration proceedings. You agree that the arbitrator cannot award punitive damages to either of us and you agree to be bound by the arbitrator’s findings. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction, which shall include, but not be limited to, the courts within Fairfield County, State of Connecticut.
ACCESS; REVISIONS; PARTIAL INVALIDITY
We reserve the right to withdraw access to OneCMS or to revise the Services described in the Site at any time without notice. All revisions are effective as soon as we make them.
The invalidity of any term, condition or provision of these Terms of Use shall not affect the enforceability of those portions of these Terms of Use deemed enforceable by applicable courts of law.
These Terms are effective as of February 25, 2022.
This Privacy Policy Statement sets forth the privacy policy pertaining to use of OneCMS™, the proprietary Software added to the instances of Word Press installed on servers controlled by InterTech. OneCMS provides an online service that allows you to post and manage Content on websites (the “Site” or “Sites”). OneCMS (the “Software” or “OneCMS”) is developed and operated by InterTech Media, LLC (“InterTech”). By using OneCMS, you expressly accept and agree to be bound and abide by the terms set forth in this Privacy Policy Statement, and consent to the collection, processing, storage and other uses of information for the purposes and in the manner described below. The terms “we,” “us” and “our” as used in these Privacy Policy refer to InterTech. We may refer to you, as “user”, “you” or “your”.

. Any terms that are not defined in this Privacy Policy Statement shall have the meaning given in the Terms of Use.
This Privacy Policy Statement does not apply to the practices of third parties, including but not limited to, any third party websites, services and applications (“Third Party Services”) that you elect to access through the Software or the Sites, or to any individuals with whom you may choose to share your information. InterTech does not take responsibility for the content or privacy policies of those Third Party Services or the activities of any individuals that InterTech does not manage or employ. We encourage you to carefully review the privacy policies of all Third Party Services you access through the Software and the Sites and to be prudent with the information that you elect to share with others.
Collection & Use of Personal Information
For purposes of this Privacy Policy Statement, “Personal Information” means any information provided to us directly or via the Software which can personally identify a person, and may include name, address, telephone number or e-mail address. As per our Terms of Use, this Software is not available to minor children (normally under 18 years of age); if we become aware that a minor child has provided us with Personal Information, we will delete such information from our servers.
InterTech uses your Personal Information only when you submit it to us, such as when registering for an account or when we respond to a question you ask or to suggestions or comments you email to us.
As a registered user, you may be able to link to Third Party Services. In order to do so, you will provide us with your username or other user ID on each of the Third Party Services that you choose to link to. You may also be required to engage in an authorization process with each of those Third Party Services, where we receive a token that allows us to access those accounts so that we can, for example, when you choose, post your content, or links to your content, to those services. We do not receive or store your passwords for your Third Party Service accounts.
We do not sell or otherwise share subscriber lists or Personal Information. We may disclose Personal Information to contractors and service providers only if and in so far as this is necessary for technical administration and maintenance of our Software and the Sites. In addition, although we make every effort to preserve user privacy, we may need to disclose Personal Information when required by law or to comply with a judicial proceeding, a subpoena, a court order, or other legal process.
Your Sharing of Information
Registered users of the Software will be able to share their Personal Information using certain features of the Software. In addition to postings that you publish to the Sites as a user or using Third Party Services, please keep in mind that your content may be published in a manner which is subject to indexing by third party search engines. You should assume that anything you yourself publish will have a wide public audience, and that your published content may continue to exist and even be redistributed by others or retained indefinitely, including in our system servers, even if you terminate your account with us.
Non-Personal Information Collected
We collect information about how people use the Software and the Sites, but this information does not include any data that personally identifies anyone. Rather, this information includes general usage information, and may include information such as the number and frequency of visitors, which pages or features of the Software and the Sites they have visited, which links they have clicked on, and the length of those visits. We may also look for and tag keywords and subjects in user content, so that we can track interest levels and rank those interests. Additionally, we may collect information related to location, such as by converting an IP address into a geographic location, as well as information related to a mobile device if used to access the Software or the Sites in that manner, such as by converting the GPS signals sent by the mobile device or using sensor data from the device that may, for example, provide information on nearby Wi-Fi access points and cell towers. We may also use third party applications and services to collect and analyze this information. The information we collect in this manner enables us and third parties authorized by us to figure out how individuals use the Software and the Sites so that we can analyze, improve and personalize them. The collection of this information permits advertisers to target ads to the Sites. Ad targeting is fully automated, does not involve information that personally identifies anyone and no humans read content in order to target ads. Some of this information may be associated with the IP Address (as defined below) used to access the Software or the Sites, and some may be associated with your registered account, such as the topics searched for and web pages visited or link to through the Software and the Sites. We may also use some of this information in aggregate form — as a statistical measure related to all users of the Software and Sites — and again this collection of data would not identify anyone personally.
Information Collected Using Cookies: Cookies are pieces of text that may be sent to and saved by a web browser when accessing the Software or a Site; your web browser stores these cookies in a way associated with each website visited, and you can see your cookies through your browser settings. We use cookies to enable our servers to recognize web browser and tell us how and when the Software or Sites are used. Our cookies do not, by themselves, contain information that personally identifies anyone, and we don’t combine the general information collected through cookies with other such information to identify anyone. However, we do use cookies to identify that you have logged in and that your web browser has accessed aspects of the Software, and we may associate that information with your account. This information, in turn, is sometimes used to personalize experiences using the Software or the Sites. Most web browsers have an option for turning off the cookie feature, which will prevent a browser from accepting new cookies, as well as (depending on the sophistication of the web browser software) allowing the user to decide on acceptance of each new cookie in a variety of ways. While rejecting a cookie will not normally affect browsing or ability to access the features on our Software, you may be required to re-enter certain information when you return to the Software. Some Third Party Services that we use may also place their own cookies on your browser, and individual blogs on our network may contain code that places their own cookies. Note that this Privacy Policy covers our use of cookies only and does not cover the use of cookies by any third parties.
Information Collected Using Web Beacons. We also may use electronic image requests (also called “web beacons” or “single-pixel gifs”) to count page views and to access cookies. The web beacons do not collect, gather, monitor or share any Personal Information; they are just used to compile anonymous information about Site usage.
Site Analytics. InterTech may use a web analytics program or service that uses “cookies”, which are text files placed on a computer, to analyze how visitors use a website. No Personal Information is used by any such program or service in making this statistical analysis for us.
International Users
If you are located outside of the United States, please note that this Software is hosted on our computer servers in the United States. Therefore, your information may be transferred to and maintained in the United States, where the privacy laws may not be as protective as those in your jurisdiction. Additionally, United States federal and state governments, courts, or law enforcement or regulatory agencies may be able to obtain disclosure of your information through laws applicable in the United States. Your use of the Software or your submission of any Personal Information to us will constitute your consent to the transfer of your Personal Information outside of your home country to our servers.
